These Terms of Service govern your use of EchoLive. They explain your rights and responsibilities, how our virtual economy and payouts work, how we handle content and enforcement, and how disputes are resolved. To make them easier to follow, each section below includes the full terms and a short, green "In plain language" explanation of what that section means. The plain-language notes are for convenience only; if there is ever any difference, the formal terms control. Capitalized terms are defined in Section 2.

1.Acceptance of Terms & Incorporated Agreements

Welcome to EchoLive. These Terms of Service (the "Terms") form a legally binding contract between you and Echo Live, Inc., a Delaware corporation with its principal place of business in the State of Ohio ("EchoLive," "we," "us," or "our"), governing your access to and use of the EchoLive live-streaming and short-form video platform, including our websites, mobile applications, application programming interfaces, and related services (collectively, the "Platform"). These Terms apply to every person who accesses the Platform, whether as a casual viewer, a registered user, an approved Creator, or an Amplifier partner.

1.1Binding Agreement & Legal Capacity

By accessing or using the Platform, you represent and warrant that you have the legal capacity and authority to enter into these Terms in the jurisdiction in which you reside. If you are using the Platform on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to both you individually and that entity. If you lack the capacity or authority to agree, you may not use the Platform.

1.2Incorporated Documents

The following documents are incorporated into these Terms by reference and form part of your agreement with EchoLive. By agreeing to these Terms, you also agree to each of them to the extent it applies to you:

  • the EchoLive Privacy Policy, which describes how we collect, use, share, and protect information;
  • the EchoLive Community Guidelines, which set the conduct and content standards for everyone on the Platform, including our detailed minor-safety rules;
  • the EchoLive Creator Agreement, which applies to users approved to broadcast and earn;
  • the EchoLive Amplifier Partner Terms of Service and Network Membership Terms, which apply to amplifier partners and enrolled creators; and
  • any additional product-specific terms, feature terms, or policies we present to you at the time you use a particular feature.

If there is a direct conflict between these Terms and an incorporated document, the incorporated document controls with respect to the specific subject matter it governs; in all other respects, these Terms control.

1.3Changes to These Terms

We may modify these Terms at any time in our discretion, for example to reflect changes in our features, business practices, or legal obligations. If we make material changes, we will provide notice through the Platform, by email, or by other reasonable means before the changes take effect, and we will update the "Last Updated" date. Your continued use of the Platform after the changes become effective constitutes your acceptance of the revised Terms. If you do not agree to a change, your remedy is to stop using the Platform and close your Account.

1.4Electronic Communications & Consent

By using the Platform, you consent to receive communications from us electronically, including by email and through in-Platform notices and messages. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You should keep your contact information current so that you receive these communications.

In plain language

This first section is the "you agree by using it" part. When you sign up or even just use EchoLive, you're agreeing to these rules and to a handful of related documents (like the Privacy Policy and Community Guidelines) that are treated as part of the same deal.

We can update these Terms over time, but we'll tell you when the changes are important, and if you keep using EchoLive afterward that counts as agreeing. If you ever don't agree, the fix is simple: stop using the app and close your account.

2.Definitions

For purposes of these Terms, the following capitalized terms have the meanings given below. Other capitalized terms are defined where they first appear in these Terms.

Account — a registered user account on the Platform, of any type described in Section 3.4. Content — any text, images, video, audio, live broadcasts, reels, messages, comments, usernames, profile information, links, or other material created, posted, streamed, or transmitted on or through the Platform. Creator — a User who has been approved by EchoLive to broadcast live, post Content, and earn revenue, subject to the Creator Agreement. Echo Coins — the Platform's virtual currency, purchased by Users with real money and used to send virtual Gifts to Creators. Diamonds — the internal unit representing creator-earned value derived from Gifts received, which may be converted into withdrawable earnings as described in these Terms and the applicable agreements. Gift — a virtual item sent by a User to a Creator during a stream using Echo Coins. Amplifier — an approved partner network operator participating in the Amplifier Creator Network under the Amplifier Partner Terms of Service. Net Revenue — gross revenue received in connection with a Creator's Gifts, less applicable payment-processor fees. Virtual Items — Echo Coins, Gifts, promotional currency, and any other digital items made available on the Platform. Enforcement Action — any warning, capability restriction, suspension, termination, or other action we take in response to a violation of these Terms, the Community Guidelines, or law. User — any person who accesses or uses the Platform in any capacity.
In plain language

This is the glossary. These words have specific meanings throughout the document, so when you see a capitalized term like "Gift" or "Diamonds," it means exactly what's defined here. For example, "Echo Coins" are what you buy, and "Diamonds" are what Creators earn from the Gifts you send.

3.Age Eligibility & Account Classifications

EchoLive takes age eligibility seriously, both to comply with the law and to protect young people. The following rules govern who may use the Platform and what they may do.

3.1Minimum Age

The Platform is available only to users who are at least thirteen (13) years of age. Users under 13 are strictly prohibited from creating an Account or using the Platform in any way. A user between the ages of thirteen (13) and seventeen (17) is referred to in these Terms as a "Teen User." Many features, described below, are available only to adults who are at least eighteen (18) years of age.

3.2Adult-Only (18+) Features & Teen User Limitations

The following features and activities are restricted to adults who are at least eighteen (18) years of age. Teen Users may not access, perform, or attempt to perform any of them, and no person may assist a Teen User in circumventing these restrictions:

  • broadcasting live as a Creator;
  • earning, accumulating, or withdrawing revenue or Diamonds;
  • purchasing Echo Coins or sending Gifts;
  • participating as an Amplifier or in any monetized or partner program; and
  • any other feature we expressly designate as adult-only.

3.3Minors Appearing in Content (Adult Supervision Required)

A Teen User (ages 13 to 17), or a child under 13 who is the family member or legal ward of an adult Creator, may appear or be featured in a live stream or other Content only when physically supervised, in person, by a responsible adult (18+) who is the account holder or who has the verifiable consent of the minor's parent or legal guardian. The supervising adult is fully responsible for the minor's appearance, for the minor's safety, and for compliance with all applicable laws. EchoLive maintains absolute zero tolerance for any content that sexualizes, exploits, or endangers a minor, regardless of supervision or consent.

3.4Account Types

3.5Identity & Age Verification

We may, at any time and at our discretion, require you to verify your identity and/or age. In particular, we may require a one-time identity verification before you complete a purchase over $1,000, and we may require age verification where we have reason to believe you may not meet our minimum age requirements. We may also require verification for payouts, fraud prevention, eligibility for adult-only features, or compliance with law.

Identity and age verification is performed by our third-party verification provider, Didit, acting on our behalf. When verification is required, you will complete the check directly through Didit’s secure system, which may involve providing a government-issued ID and a photo (selfie) so that Didit can confirm your identity and age, including by comparing your selfie to your ID (a biometric face match). EchoLive does not receive or store your ID document or biometric images; we receive only the result of the verification (for example, “verified” or “not verified,” and whether you meet the age requirement). Didit’s handling of your information is described in Didit’s privacy policy and in our Privacy Policy.

By initiating verification, you voluntarily and expressly consent to Didit’s collection and processing of your government-issued ID, photo, and biometric information (including a face match between your selfie and your ID) for the sole purpose of completing the verification, as further described in our Privacy Policy. You agree to provide accurate and complete verification information and confirm it belongs to you.

We may restrict, suspend, or terminate your Account, withhold payouts, decline or reverse transactions, or limit features if you cannot or will not complete verification, or if we have reason to believe your information is false.

3.6Jurisdictional Eligibility

You may not use the Platform if you are located in, or are a resident of, any jurisdiction where use of the Platform is prohibited by law, or if you are an individual or entity subject to applicable economic sanctions or trade restrictions. By using the Platform, you represent that you are not located in such a jurisdiction and are not subject to such restrictions.

In plain language

The short version on age: you must be at least 13 to use EchoLive at all, and you must be 18 or older to do anything involving money or broadcasting — buying coins, sending gifts, going live, or earning.

Teens (13–17) can watch and chat, but can't monetize. A minor can only appear on camera if a responsible adult is physically there supervising, with the proper consent. And there is an absolute, no-exceptions rule against any content that sexualizes or endangers a child. We can also ask you to prove your age or identity at any time, especially before paying you out.

4.Account Registration, Security & Responsibility

4.1Registration

  • You must provide accurate, current, and complete information when creating an Account and keep that information updated at all times.
  • You may maintain only one Account unless we expressly authorize otherwise in writing.
  • You may not register an Account using false information, another person's identity, or on behalf of a person who is barred from the Platform.
  • You may not register or use an Account if you have previously been terminated or banned from the Platform, unless we expressly reinstate you.

4.2Account Security

  • You are responsible for maintaining the confidentiality of your login credentials and for using strong, unique passwords that you do not reuse on other services.
  • You are responsible for all activity that occurs under your Account, whether or not you authorized that activity.
  • You must notify us immediately at contact@echolivenow.com of any unauthorized use of, or any suspected breach of the security of, your Account.
  • We are not liable for any loss arising from unauthorized use of your Account that results from your failure to safeguard your credentials.

4.3Account Transfers

Your Account, including any associated Virtual Items, balances, usernames, follower relationships, or status, is personal to you. You may not sell, transfer, assign, gift, rent, or otherwise dispose of your Account or anything associated with it to any other person or entity, except as expressly permitted by us in writing. Any attempted transfer in violation of this section is void and may result in an Enforcement Action.

In plain language

Use real information, keep just one account, and don't reuse a banned account. You're responsible for what happens under your login, so pick a strong password and tell us right away if someone gets into your account.

Your account is yours and yours only — you can't sell it, hand it off, or transfer your coins, username, or status to someone else.

5.Payouts, Withdrawals & Payment Processing

5.1Eligibility & Method

Eligible Creators and Amplifiers may withdraw earnings subject to these Terms and any applicable agreement. Payments are processed by third-party payment processors, currently including Stripe and PayPal. Your use of those processors is subject to their own terms of service and privacy policies, and you must comply with any verification or onboarding steps they require.

5.2Minimums, Timing & Fees

  • Minimum. The minimum withdrawal amount is fifty dollars ($50 USD).
  • Timing. Withdrawals are typically processed within one (1) to five (5) business days after a valid request, subject to verification, review, and processor timelines.
  • Service fee. A withdrawal Service Fee applies, and varies by payout method, per the schedule below. This fee helps cover the costs of processing your withdrawal. The exact fee applicable to your withdrawal is shown to you before you confirm the request, along with the net amount you will receive.
  • Processor fees. Payment-processor fees are deducted from gross transaction amounts before Net Revenue is calculated. The EchoLive Service Fee is charged by EchoLive and is separate from any fees your bank or payment provider may charge.
  • Other fees. We are not responsible for fees charged by your own bank or payment provider, or for losses resulting from incorrect payout information that you provide.

Withdrawal Service Fees are current as of the effective date of these Terms and may be updated; the fee applicable to a given withdrawal is always displayed before you confirm it. International withdrawals may incur additional currency-conversion or cross-border charges from the payment processor.

5.3Taxes

You are solely responsible for determining and paying any taxes applicable to your earnings from the Platform. We may require you to provide tax information (such as a Form W-9 or W-8) before processing payouts, and we may withhold amounts and file reports with tax authorities where required by law. We do not provide tax advice; consult your own advisor.

5.4Holds, Reversals & Set-Off

  • We may withhold, delay, freeze, or reverse payouts where we suspect fraud, chargebacks, manipulation, or policy violations, or where required by law or to protect the Platform or third parties.
  • We may set off (deduct) amounts you owe us — including chargebacks, refunds, fees, or losses caused by your conduct — against your balance or future earnings.
  • Earnings associated with violations, manipulation, or fraud may be withheld or forfeited as described in these Terms and the applicable agreements.
  • If your balance becomes negative due to chargebacks or reversals, you agree to repay the negative balance, and we may recover it from your future earnings or by other lawful means.

5.5Dormant Accounts & Unclaimed Funds

We may apply reasonable policies to dormant Accounts and unclaimed balances, consistent with applicable unclaimed-property and escheatment laws, which may require us to remit certain unclaimed funds to a government authority after a period of inactivity.

In plain language

If you earn money on EchoLive, here's how getting paid works. You need at least $50 to withdraw, it usually lands in 1–5 business days, and a percentage fee applies depending on whether you use Stripe or PayPal and where you are — note there's no dollar cap on that fee, so a bigger withdrawal means a proportionally bigger fee.

Taxes are on you, not us. And if something looks like fraud or a payment gets reversed, we can hold, claw back, or deduct money to make things right — including from future earnings if your balance goes negative.

6.Revenue Share & Platform Economics

6.1Creator Revenue Share

Creators earn a share of Net Revenue derived from the Gifts they receive. The Creator's share of Net Revenue is sixty percent (60%), and EchoLive retains the remaining forty percent (40%). "Net Revenue" means gross revenue after deduction of payment-processor fees. The Creator's 60% share is calculated on Net Revenue.

Creator ProtectionThe Creator's 60% revenue share is never reduced by any Amplifier commission, bonus, floor, or incentive. Every such payment is funded separately, out of EchoLive's own 40% platform share.

6.2Platform-Funded Incentives

All Amplifier commissions, referral overrides, retention bonuses, promotional rewards, and similar payments are paid by EchoLive out of its own share of revenue. They do not reduce, and are not deducted from, any Creator's earnings.

Certain incentive and bonus programs — including retention bonuses, milestone bonuses, referral incentives, and promotional rewards — are discretionary programs offered by EchoLive at its sole discretion. They are not contractual entitlements, they do not form part of any agreement between EchoLive and a Creator or an Amplifier unless expressly stated in that agreement, and EchoLive may modify, suspend, or discontinue any of them at any time. Eligibility, rates, and terms for any such program are as published by EchoLive from time to time.

6.3No Guaranteed Earnings

EchoLive does not guarantee any level of earnings, audience, visibility, engagement, or other results. Any examples, projections, or illustrations of potential earnings that we or others may provide are illustrative only and are not a promise or guarantee of actual results, which depend on many factors outside our control.

6.4Changes to Economics

We may modify revenue-share percentages, fees, Virtual Item pricing, conversion rates, and other economic terms on a prospective (forward-looking) basis, with notice as required by applicable law. Changes will not retroactively reduce earnings you have already validly accrued.

6.5Errors & Corrections

We may correct any errors in balances, earnings, or transactions, including reversing amounts credited in error, even if those amounts were previously displayed or made available to you.

6.6Referral Program

The EchoLive Referral Program pays a referring user a Referral Bonus equal to five percent (5%) of the eligible Net Revenue generated by a Creator they referred using their referral code. Referral Bonuses and Amplifier commissions do not stack with respect to the same Creator’s earnings. Consistent with Section 6.2, the Referral Bonus is funded entirely from EchoLive’s own 40% platform share (the app’s side) and is never deducted from, and does not reduce, the referred Creator’s revenue share.

If a referred Creator becomes an enrolled creator under an Amplifier, or otherwise joins or becomes affiliated with the Amplifier Creator Network, the Referral Bonus associated with that Creator ends. Effective on the date the Creator becomes affiliated with the network, the referring user will no longer receive any Referral Bonus tied to that Creator’s activity or earnings. Referral Bonus amounts validly accrued and payable before that date are not affected. This termination is permanent, and the Referral Bonus does not resume even if the Creator later leaves the network.

Referral codes and the Referral Program are offered for a limited time and as a promotional benefit only. EchoLive may modify, suspend, deactivate, expire, or remove any referral code, any Referral Bonus, or the Referral Program in whole or in part at any time, with or without notice, in its sole discretion, and may change the Referral Bonus rate, the eligibility criteria, or any other term of the Referral Program at any time. Participation in the Referral Program is a revocable promotional privilege and confers no vested, guaranteed, or ongoing right to any referral code or Referral Bonus.

In plain language

Here's the money split: when you send a Creator a Gift, the Creator keeps 60% of the net, and EchoLive keeps 40%. Importantly, a Creator's 60% is sacred — agency commissions and bonuses all come out of EchoLive's 40%, never out of the Creator's cut.

We don't promise anyone will make a specific amount, we can change pricing and rates going forward (with notice), and we can fix genuine accounting mistakes if money is credited in error.

One more on money: if you refer a new Creator with your code, your 5% referral reward is paid by EchoLive out of our side, never out of their earnings. That reward ends permanently once the Creator you referred joins an Amplifier network, and referral codes are a limited-time promotional perk we can change or switch off at any time.

7.Virtual Economy, Echo Coins & Virtual Items

7.1Nature of Virtual Items

Echo Coins and other Virtual Items are licensed, not sold, to you. When you obtain a Virtual Item, you receive a limited, personal, non-exclusive, non-transferable, revocable license to use it on the Platform in accordance with these Terms. Virtual Items have no cash value outside the Platform, are not your property, and do not constitute a balance, deposit, credit, or any form of stored value or financial instrument with us or any third party.

7.2Echo Coins

  • Echo Coins are the Platform's purchased virtual currency. Users aged 18 or older may buy Echo Coins with real money and use them to send Gifts to Creators during streams and through other supported features.
  • Purchase channels. Echo Coins may be purchased only through official channels, including the in-app purchase systems operated by the Apple App Store and Google Play, and any other payment method we designate. Prices, pack sizes, and the number of Echo Coins per purchase are displayed at the time of purchase and may vary by region, platform, currency, and over time. Applicable taxes and app-store fees may apply.
  • Service fee on purchases. When you buy Echo Coins directly through EchoLive using a payment processor (such as Stripe or PayPal), a Service Fee may be added to your purchase to help cover payment-processing costs. The Service Fee is charged by EchoLive, is separate from any fees charged by your bank or payment provider, and is shown to you, along with your order total, before you confirm and pay. Current Service Fees for direct purchases are: Stripe, 3% plus $0.30 per transaction; PayPal, 3.49% plus $0.49 per transaction. These fees are current as of the effective date of these Terms, may be updated, and are always displayed at checkout before you confirm. Purchases made through the Apple App Store or Google Play are subject to those stores' own pricing and fees instead.
  • Prohibited sources. You may not acquire, or attempt to acquire, Echo Coins from any unauthorized third party, reseller, or secondary market, or through any fraudulent or exploitative means. Echo Coins obtained improperly may be revoked or forfeited without refund, and the responsible Account may face an Enforcement Action.

7.3Gifts

  • A Gift is a virtual item a User sends to a Creator, using Echo Coins, to show support. Sending a Gift consumes the corresponding Echo Coins immediately and permanently.
  • When a Creator receives a Gift, it is converted into Diamonds, which represent the Creator's earned value.
  • You may not use Gifts to launder money, disguise payments, harass a Creator, or circumvent any Platform rule, and you may not solicit, coerce, or manipulate Gifts in violation of the Community Guidelines.

7.4Diamonds & Conversion

Diamonds are the internal unit representing value a Creator earns from Gifts received. Diamonds are earned, not purchased. Eligible Creators (18+) may convert Diamonds into withdrawable earnings subject to these Terms and the Creator Agreement. The conversion rate between Gifts, Diamonds, and withdrawable currency is set by EchoLive and may change prospectively. Diamonds, like other Virtual Items, are not personal property and have value only within the Platform's systems until converted through the official withdrawal process.

7.5Promotional & Bonus Currency

We may distribute promotional or bonus virtual currency (for example, through features such as Coin Rain). Promotional currency may be spend-only, usable only for limited purposes, non-withdrawable, and subject to expiration, and we may modify or revoke it at our discretion. EchoLive does not offer premium, discounted, or marked-up coin bundles that alter the standard value of Echo Coins.

7.6No Refunds

7.7Fraud & Manipulation

Manipulation of the virtual economy — including self-gifting, gift-cycling, the use of fake or controlled accounts, and coordinated inauthentic activity — is strictly prohibited. Diamonds or earnings generated this way may be excluded, withheld, reversed, or clawed back, and the responsible Account may be terminated.

7.8Management, Discontinuation & Forfeiture

We may manage, regulate, modify, limit, suspend, or discontinue Virtual Items at any time, including their availability, pricing, conversion values, and functionality, with or without notice. Upon closure or termination of your Account, your license to all Virtual Items ends, and unused Echo Coins, Gifts, and unredeemed Diamonds are cancelled and may be forfeited to the extent permitted by law. We have no liability for these actions, except as required by law.

In plain language

Echo Coins (what viewers buy) and Diamonds (what Creators earn) aren't really "yours" in the legal sense — you're licensed to use them inside EchoLive, and they have no cash value off the platform. Think of them like arcade tokens, not money in the bank. Anything involving coins, gifts, or earning money is strictly 18+.

Buy coins only through official channels (like the app stores) — coins from shady resellers can be wiped. Coin purchases are final and sent Gifts can't be undone, except where the law requires a refund. Gaming the system with self-gifting or fake accounts is banned and can be clawed back, and if your account closes, unused coins and diamonds are cancelled.

8.License to Use the Platform

Subject to your ongoing compliance with these Terms, EchoLive grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform for your personal, non-commercial use — or, for Creators and Amplifiers, for the purposes expressly permitted by their applicable agreements. This license does not include any right to (a) resell or make commercial use of the Platform or its Content except as permitted; (b) copy, reproduce, distribute, or create derivative works except as expressly allowed; (c) use any data mining, robots, or similar data-gathering tools; or (d) frame or mirror any part of the Platform without our prior written consent. All rights not expressly granted to you are reserved by EchoLive and its licensors.

In plain language

We give you permission to use EchoLive, but it's a limited permission, not ownership. You can use the app for yourself (or for your approved Creator/Amplifier business), but you can't copy it, scrape it, resell it, or build a knock-off from it. Anything we don't specifically allow, we keep.

9.User Conduct & Prohibited Activities

You agree that you will not, will not attempt to, and will not assist or permit any other person to do any of the following:

  • violate these Terms, the Community Guidelines, any incorporated agreement, or any applicable law or regulation;
  • post, stream, or transmit Content that is unlawful, infringing, defamatory, obscene, pornographic, hateful, harassing, threatening, or otherwise prohibited by the Community Guidelines;
  • engage in or promote the sexual exploitation or endangerment of any person, with absolute zero tolerance for any content involving minors;
  • harass, bully, stalk, threaten, defame, or intimidate any person, or incite or coordinate others to do so;
  • impersonate any person or entity, or misrepresent your identity, age, or affiliation;
  • engage in fraud, money laundering, chargeback abuse, or any manipulation of the virtual economy, including self-gifting schemes, coin recycling, or fake engagement;
  • manipulate Platform metrics, levels, rankings, or features, or abuse the reporting system through false or malicious reports;
  • use bots, scrapers, crawlers, or other automated means to access, interact with, manipulate, or extract data from the Platform;
  • circumvent, disable, or interfere with security features, rate limits, Enforcement Actions, age gates, or access controls, or evade a ban or suspension;
  • introduce malware, viruses, or harmful code, or attempt to gain unauthorized access to the Platform, other Accounts, or our systems;
  • interfere with, disrupt, or impose an unreasonable load on the Platform or its infrastructure;
  • sell, advertise, or facilitate prohibited or regulated goods or services;
  • collect, harvest, or store the personal information of other Users without their consent;
  • use the Platform to infringe intellectual property, publicity, or privacy rights; or
  • use the Platform for any illegal, harmful, deceptive, or otherwise unauthorized purpose.

These prohibitions are in addition to, and supplemented by, the detailed conduct and content standards in the Community Guidelines, which are incorporated into these Terms. A violation of the Community Guidelines is also a violation of these Terms.

In plain language

This is the "don't be a problem" list. In everyday terms: don't break the law, don't post abusive or exploitative content (and absolutely nothing involving minors), don't harass people, don't cheat the coin/gift system, don't use bots, and don't try to hack or overload the platform.

The Community Guidelines spell all of this out in much more detail, and breaking those is the same as breaking these Terms.

10.Content: Ownership, License & Responsibility

10.1Your Responsibility for Content

You are solely responsible for all Content you create, post, stream, or transmit, and for the consequences of doing so. You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to your Content, and that your Content, and our use of it as permitted here, does not and will not violate these Terms, the Community Guidelines, any law, or any third-party right.

10.2License You Grant to EchoLive

You retain ownership of the Content you create. However, by submitting, posting, streaming, or transmitting Content on or through the Platform, you grant EchoLive a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to host, store, cache, reproduce, modify (for technical purposes such as formatting and transcoding), adapt, publish, translate, distribute, publicly perform, and publicly display your Content in connection with operating, providing, promoting, and improving the Platform. This license continues for as long as your Content remains on the Platform and for a reasonable period afterward for backup, legal, and operational purposes.

10.3Third-Party Content

The Platform may contain Content provided by other Users and third parties. We do not endorse, adopt, verify, or assume responsibility for third-party Content, and you access and rely on it at your own risk.

10.4Feedback

If you provide suggestions, ideas, or feedback about the Platform, you grant EchoLive an unrestricted, perpetual, irrevocable, royalty-free right to use them for any purpose, without compensation, attribution, or obligation to you.

10.5Content Moderation & Removal

  • We may, but are not obligated to, monitor, review, or moderate Content.
  • We may remove or restrict Content, end streams, or limit features that we determine, in our discretion, violate these Terms, the Community Guidelines, or law, or that may otherwise harm the Platform, our Users, or third parties.
  • We may preserve and disclose Content where required by law, to cooperate with law enforcement, or to protect safety, including child-safety matters, as further described in the Privacy Policy.

You keep ownership of what you make. But by posting or streaming it, you give us broad permission to host and show it so the platform can actually work and promote your content. That permission is necessary — without it we couldn't legally display your stream.

You're responsible for making sure you have the rights to what you post (including music). We can remove content that breaks the rules, and we can keep or share content when the law or a safety situation requires it.

11.Intellectual Property Rights & DMCA

11.1EchoLive Property

The Platform, including its software, source code, design, "look and feel," text, graphics, logos, trademarks, service marks, trade dress, and all related intellectual property, is owned by EchoLive or its licensors and is protected by United States and international intellectual property laws. Nothing in these Terms transfers any ownership in our intellectual property to you.

11.2Respecting the Rights of Others

You must respect the intellectual property rights of others. Only post or stream Content that you own or are authorized to use, and obtain all required rights, licenses, and permissions in advance, including rights to any music or other third-party works featured in your Content. Unauthorized use of copyrighted music or other works — including during live streams — may result in muted audio, content removal, stream termination, strikes, or account termination.

11.3DMCA Notice & Takedown

EchoLive complies with the Digital Millennium Copyright Act (DMCA). If you believe Content on the Platform infringes your copyright, send a written notice to our Designated Copyright Agent at legal@echolivenow.com that includes: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material and information sufficient to locate it (such as a URL, username, or stream/clip identifier); (c) your name, address, telephone number, and email address; (d) a statement of good-faith belief that the use is not authorized by the rights holder, its agent, or the law; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on its behalf; and (f) your physical or electronic signature.

11.4Counter-Notice

If your Content was removed due to a copyright notice and you believe this was a mistake or misidentification, you may submit a counter-notice to legal@echolivenow.com including: identification of the removed material and its prior location; a statement, under penalty of perjury, that you have a good-faith belief it was removed by mistake or misidentification; your name, address, and telephone number; your consent to the jurisdiction of the federal court in your district (or, if outside the US, the courts of Ohio); and your physical or electronic signature. We may restore the material as permitted by the DMCA.

11.5Repeat-Infringer Policy & Strikes

EchoLive maintains a strike system for copyright violations. Accounts that accumulate repeated infringements face escalating enforcement, up to and including permanent termination. We terminate the Accounts of repeat infringers in appropriate circumstances.

11.6Trademarks

If you believe your trademark is being infringed on the Platform — for example through an impersonating username, profile, or Content — contact legal@echolivenow.com with proof of your trademark rights, the allegedly infringing material, and an explanation of the likely confusion. Nominative and fair uses of trademarks (such as commentary, criticism, or reference) are generally permitted. You may not use EchoLive's own trademarks or branding without our prior written permission.

The EchoLive name, logo, app, and design belong to us — using the platform doesn't give you any of that. On the flip side, you have to respect other people's copyrights and trademarks, including music — unauthorized music in a stream can get your audio muted or your stream cut.

If someone posts your copyrighted work, send a DMCA takedown to legal@echolivenow.com with the listed details. If your content got pulled by mistake, you can push back with a counter-notice. Copyright violations rack up strikes, and repeat infringers get terminated. Trademark complaints (like impersonation) go to the same address.

12.Amplifier Creator Network

The Amplifier Creator Network is an invite-based partner program for professional creator-network operators, governed by the Amplifier Partner Terms of Service and, for enrolled creators, by the Network Membership Terms. Amplifiers are independent contractors and are not employees, agents, partners, or joint venturers of EchoLive, and they have no authority to bind EchoLive. All Amplifier commissions, bonuses, floors, and incentives are funded entirely from EchoLive's own platform share and never reduce a Creator's earnings. Full details, including eligibility, commission structure, and conduct standards, are set out in the Amplifier agreements.

"Amplifiers" are approved agencies that recruit and support Creators. They're independent businesses, not part of EchoLive, and they get paid out of EchoLive's share — never out of a Creator's earnings. The detailed rules live in the separate Amplifier agreements.

13.Enforcement Actions, Suspension & Termination

13.1Graduated Enforcement

We may take a range of Enforcement Actions for violations of these Terms, the Community Guidelines, or law, including any combination of the following, chosen based on the severity, context, and history of the violation:

13.2Duration & Notice

Restrictions may be temporary (for a preset or custom period) or permanent. We will generally inform you of the action taken, the basis for it, its duration, and how to appeal where eligible, except where doing so would compromise safety, an investigation, or our legal obligations.

13.3Zero-Tolerance Violations

13.4Appeals

You may appeal most Enforcement Actions through the process we provide. An appeal is reviewed, where feasible, by a different reviewer than the one who made the original decision. Certain zero-tolerance actions are final and are not subject to appeal.

13.5Ban Evasion

Creating or using another Account to evade a suspension or termination is prohibited and may result in immediate termination of all related Accounts.

13.6Effect on Balances

Termination for cause may result in forfeiture of unpaid balances, Virtual Items, and pending earnings to the extent permitted by law, particularly in cases of fraud or severe violations.

If you break the rules, we have a ladder of responses: a warning, a targeted restriction (like losing the ability to go live or to gift), a temporary suspension, or — for the worst stuff — permanent termination. We'll usually tell you what you did and how to appeal.

The most serious violations, especially anything involving child safety or credible threats, skip the ladder entirely and result in an immediate, final ban. Don't try to dodge a ban with a new account — that just gets everything terminated.

14.Fraud Protection, Chargebacks & Financial Integrity

  • Chargebacks. Initiating a chargeback or payment dispute without first contacting us at contact@echolivenow.com to attempt to resolve the issue is a breach of these Terms.
  • Reversals. We may reverse transactions, freeze balances, and withhold payouts in cases of suspected fraud, manipulation, or chargeback abuse.
  • Manipulation. Manipulation of the virtual economy — including self-gifting, coin recycling, the use of fake or controlled accounts, and coordinated inauthentic activity — is strictly prohibited and may result in forfeiture and termination.
  • Reporting. We may report fraudulent or unlawful activity to payment processors, financial institutions, and law enforcement, and may cooperate with their investigations.
  • Reimbursement. You agree to reimburse us for chargeback fees, fraud losses, and related costs caused by your conduct.

If you have a billing problem, talk to us first instead of immediately disputing the charge with your bank. We take fraud and gaming-the-system (like gifting yourself through fake accounts) seriously — we can freeze funds, reverse transactions, report to authorities, and bill you back for losses your conduct causes.

15.Third-Party Services & Links

The Platform integrates with, and may link to, third-party services, including payment processors, infrastructure and hosting providers, and external websites. We do not control and are not responsible for third-party services, their content, or their practices. Your use of any third-party service is at your own risk and is governed by that third party's terms and privacy policy, not these Terms.

EchoLive connects to outside services (like Stripe and PayPal) and may link to other sites. Those aren't ours, so we're not responsible for them — using them is between you and them, under their rules.

16.Privacy & Data

Your privacy is important to us. Your use of the Platform is subject to the EchoLive Privacy Policy, which is incorporated into these Terms and describes what information we collect, how and why we use it, when and with whom we share it, how long we keep it, how we protect it, and the rights and choices available to you. Please review the Privacy Policy carefully.

17.Platform Modifications, Availability & Beta Features

  • We may modify, update, suspend, or discontinue the Platform or any feature, Virtual Item, or service at any time, with or without notice.
  • We do not guarantee that the Platform will be available, uninterrupted, timely, secure, or error-free, and we may perform maintenance, impose limits on certain features, or restrict access to parts of the Platform.
  • We may offer beta, preview, or experimental features on an "as is" basis. These may be changed, limited, or withdrawn at any time and may be subject to additional terms.
  • We are not liable for any modification, suspension, or discontinuation of the Platform or any feature, except as required by law.

18.Termination by You & by EchoLive

18.1Termination by You

You may stop using the Platform and close your Account at any time by following the process we provide or by contacting contact@echolivenow.com.

18.2Termination or Suspension by EchoLive

We may suspend or terminate your Account or your access to the Platform at any time, with or without notice, for any conduct that we determine, in our reasonable discretion, violates these Terms, the Community Guidelines, or applicable law, or that may harm the Platform, other Users, or third parties.

18.3Effect of Termination

Upon termination, for any reason: (a) your right to access and use the Platform immediately ceases; (b) your license to Virtual Items ends and any unused Virtual Items may be forfeited to the extent permitted by law; and (c) all provisions of these Terms that by their nature should survive termination will survive, including provisions regarding ownership, the license you granted, disclaimers, limitations of liability, indemnification, and dispute resolution.

You can leave any time and close your account. We can also suspend or close an account that's breaking the rules or causing harm. When an account ends, access stops and unused virtual items can be lost — but the parts of this agreement that are meant to outlast the relationship (like liability limits and dispute rules) still apply.

19.Disclaimer of Warranties

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you, in which case they apply to the fullest extent permitted by law.

This is the legal way of saying "we provide EchoLive as-is." We work hard to make it good, but we're not legally guaranteeing it will be perfect, always available, or bug-free. If your local law gives you certain protections anyway, those still apply.

20.Limitation of Liability

If something goes wrong, this caps how much we can be on the hook for. We're not liable for indirect losses (like lost profits), and our total liability is limited to either what you paid us in the last 12 months or $100, whichever is greater. Caps like this are standard for online platforms and are part of what makes the service possible to offer.

21.Indemnification

You agree to indemnify, defend, and hold harmless EchoLive and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Content; (b) your use of or access to the Platform; (c) your violation of these Terms, the Community Guidelines, or any applicable law; or (d) your infringement or violation of any third-party right, including intellectual property, publicity, or privacy rights. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us.

If your actions or your content get EchoLive sued or cause us losses — for example, you post something you didn't have the rights to — you agree to cover the resulting costs, including legal fees. In other words, you're responsible for the consequences of what you do on the platform.

22.Governing Law & Venue

These Terms, and any dispute, claim, or controversy arising out of or relating to them or to the Platform, are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-laws principles. Subject to the arbitration provisions in Section 23, the exclusive venue for any permitted court action lies in the state and federal courts located in Ohio, and you consent to the personal jurisdiction of those courts.

23.Informal Dispute Resolution & Binding Individual Arbitration

23.1Informal Resolution First

Before initiating any arbitration or court proceeding, you agree to first contact us at legal@echolivenow.com with a written description of your dispute and the relief you seek, and to attempt in good faith to resolve the dispute informally for a period of at least sixty (60) days. Many disputes can be resolved this way without the cost and delay of formal proceedings.

23.2Agreement to Arbitrate

If the dispute is not resolved informally, you and EchoLive agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration, administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court, except as provided below. The arbitrator, and not any court, has exclusive authority to resolve disputes about the interpretation, applicability, or enforceability of this arbitration agreement.

23.3Exceptions

This arbitration agreement does not apply to: (a) claims that may be brought in small-claims court, if they qualify and remain in that court; and (b) actions seeking injunctive or equitable relief to protect intellectual property rights.

23.4Your Right to Opt Out

30-Day Opt-OutYou may opt out of this arbitration agreement by sending written notice to legal@echolivenow.com within thirty (30) days of first accepting these Terms. Your notice must include your name and the email associated with your Account and clearly state that you opt out of arbitration. If you opt out, neither you nor EchoLive will be required to arbitrate, and the governing-law and venue provisions in Section 22 will apply. Opting out has no effect on any other part of these Terms.

23.5Costs & Award

The allocation of arbitration fees is governed by the applicable AAA rules and applicable law. The arbitrator may award the same individual relief that would be available in court, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief on that party's individual claim.

If we have a disagreement, step one is to email us and try to work it out over 60 days — most things get solved here. If that fails, disputes generally go to private arbitration instead of a courtroom.

Two important things: there are exceptions (small-claims court and protecting IP), and you have a real choice — you can opt out of arbitration entirely by emailing us within 30 days of signing up, with no effect on anything else.

24.Class Action Waiver

This means disputes are handled one person at a time, not as a big group lawsuit or class action. (If you opted out of arbitration in Section 23, this waiver works together with that choice.)

25.Jury Trial Waiver

By agreeing to arbitration, both sides give up the right to a jury trial for covered disputes. This doesn't apply if you opted out of arbitration or for the listed exceptions.

26.General Provisions

  • Entire Agreement. These Terms, together with the incorporated documents, constitute the entire agreement between you and EchoLive regarding the Platform and supersede all prior or contemporaneous agreements, communications, and understandings.
  • Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later. A waiver is effective only if it is in writing and signed by us.
  • Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, or sale of assets, or otherwise.
  • Relationship of the Parties. No agency, partnership, joint venture, employment, or franchise relationship is created by these Terms.
  • Force Majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, outages, labor disputes, and governmental actions.
  • Notices. We may provide notices to you through the Platform, by email, or by other reasonable means. You may contact us at the addresses below.
  • Survival. Provisions that by their nature should survive termination of these Terms will survive.
  • Headings. Section headings are for convenience only and do not affect interpretation.
